Terms of Service

These Terms of Service govern your use of Boni-fi Technology's website and services. Please read them carefully. By engaging our services, you agree to be bound by these terms. If you have questions, please contact us before proceeding.

1. Acceptance of Terms

By accessing or using the services provided by Boni-fi Technology LLC ("Boni-fi Technology," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all visitors, clients, and others who access or use our website, managed IT services, cybersecurity services, cloud solutions, help desk support, network management, and IT consulting services (collectively, the "Services").

2. Description of Services

Boni-fi Technology provides managed IT services to businesses, including but not limited to: • Managed IT infrastructure monitoring and maintenance • Cybersecurity services and threat detection • Cloud solutions and migration services • 24/7 help desk support • Network design and management • IT consulting and virtual CIO (vCIO) services The specific services provided to each client are governed by a separate Master Service Agreement (MSA) and Statement of Work (SOW) executed between Boni-fi Technology and the client.

3. Client Obligations

As a client of Boni-fi Technology, you agree to: • Provide accurate and complete information necessary for us to deliver the Services • Maintain appropriate access credentials and notify us immediately of any unauthorized access • Cooperate with our technicians and provide reasonable access to your systems and facilities • Comply with all applicable laws and regulations in connection with your use of the Services • Not use our Services for any unlawful, harmful, or fraudulent purpose • Promptly notify us of any changes to your IT environment that may affect service delivery

4. Payment Terms

Payment terms for our Services are outlined in your individual service agreement. Generally: • Managed service fees are billed monthly in advance • Invoices are due within 30 days of the invoice date unless otherwise specified • Late payments may be subject to a 1.5% monthly finance charge • We reserve the right to suspend Services for accounts more than 60 days past due • All fees are non-refundable except as expressly stated in your service agreement • Prices are subject to change with 30 days written notice

5. Confidentiality

Both parties acknowledge that in the course of providing Services, each may have access to confidential information of the other party. Each party agrees to: • Keep all confidential information strictly confidential • Use confidential information only for the purpose of fulfilling obligations under the service agreement • Not disclose confidential information to third parties without prior written consent • Implement reasonable security measures to protect confidential information This obligation survives the termination of any service agreement for a period of three (3) years.

6. Data and Privacy

Boni-fi Technology takes data privacy seriously. In connection with providing Services: • We may access, process, and store your business data solely to deliver the contracted Services • We implement industry-standard security measures to protect your data • We do not sell or share your data with third parties except as required to deliver Services or as required by law • In the event of a data breach affecting your systems, we will notify you promptly in accordance with applicable law • Our full Privacy Policy, available at /privacy, governs the collection and use of personal information You retain ownership of all data you provide to us. We retain ownership of our tools, methodologies, and intellectual property used to deliver Services.

7. Service Level Agreement

Boni-fi Technology is committed to delivering high-quality, reliable services. Our standard service levels include: • 99.9% uptime SLA for managed infrastructure services • Under 15-minute average response time for help desk support requests • 24/7/365 monitoring for all managed systems • Scheduled maintenance windows communicated at least 48 hours in advance Specific SLA terms, remedies for SLA failures, and exclusions are detailed in your individual service agreement. SLA credits, where applicable, are the sole remedy for service level failures.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: • Boni-fi Technology's total liability for any claims arising under or related to these Terms or any service agreement shall not exceed the total fees paid by you in the three (3) months preceding the claim. • In no event shall Boni-fi Technology be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages. • We are not liable for service interruptions caused by factors outside our reasonable control, including but not limited to internet outages, third-party software failures, natural disasters, or acts of government.

9. Term and Termination

Service agreements with Boni-fi Technology are typically structured as follows: • Initial term as specified in your service agreement (typically 12 months) • Automatic renewal for successive one-year terms unless either party provides 60 days written notice of non-renewal • Either party may terminate for material breach with 30 days written notice and opportunity to cure • Upon termination, we will assist with a reasonable transition period as outlined in your service agreement • All outstanding fees become immediately due upon termination Early termination fees may apply as specified in your individual service agreement.

10. Governing Law and Disputes

These Terms and any service agreements shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration in Houston, Texas, under the rules of the American Arbitration Association. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

11. Changes to Terms

Boni-fi Technology reserves the right to update these Terms at any time. We will notify existing clients of material changes via email at least 30 days before the changes take effect. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must notify us in writing before the effective date.
